By accessing or using the Service, creating an account, submitting information, or communicating through TrialsNest, you agree to these Terms. If you do not agree, do not use the Service.
What TrialsNest Does
TrialsNest is a clinical trial recruitment, prescreening, communication, scheduling, document coordination, reporting, and workflow platform. The Service may help patients or potential participants discover studies, submit interest forms, answer prescreening questions, communicate with authorized research staff, schedule appointments, upload documents, and receive study-related updates.
TrialsNest may also provide dashboards and workflow tools for research sites, coordinators, sponsors, administrators, and other authorized users.
TrialsNest Is Not Medical Advice
TrialsNest does not provide medical advice, diagnosis, treatment, emergency care, or medical decisionmaking. Information on the Service is provided for general informational, recruitment, administrative, and coordination purposes only.
You should always consult a qualified healthcare professional regarding medical conditions, symptoms, treatment options, medication questions, or participation in a clinical study. If you believe you are experiencing a medical emergency, call 911 or seek emergency care immediately.
No Guarantee of Study Eligibility or Enrollment
Submitting information through TrialsNest does not guarantee that you qualify for, will be contacted about, will be screened for, or will be enrolled in any clinical study. Final eligibility decisions are made by the applicable study team, investigator, clinical research site, sponsor, institutional review board, or other authorized party according to the approved study protocol and applicable law.
Users and Account Types
TrialsNest may support different user roles, including patients, potential participants, caregivers, coordinators, site staff, sponsor users, administrators, and other authorized personnel.
You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for activity that occurs under your account unless caused by TrialsNest's failure to use reasonable security measures.
Patient and Participant Responsibilities
If you use TrialsNest as a patient, participant, caregiver, or study applicant, you agree that:
The information you provide will be accurate to the best of your knowledge.
You will not submit information for another person unless you are legally authorized to do so.
You understand that study participation may require additional consent documents, medical screening, investigator review, and site-specific procedures.
You will not use the Service for emergency medical needs.
Site, Sponsor, Coordinator, and Administrative User
Responsibilities If you use TrialsNest on behalf of a research site, sponsor, healthcare provider, investigator, or organization, you represent that you are authorized to do so.
You agree to:
Access only information you are authorized to view.
Use patient and study information only for permitted recruitment, prescreening, research coordination, care coordination, reporting, compliance, or administrative purposes.
Maintain appropriate confidentiality and security safeguards.
Comply with HIPAA, human-subject research rules, IRB requirements, study protocols, sponsor requirements, and applicable laws.
Avoid entering unnecessary sensitive information into free-text fields.
Immediately report suspected unauthorized access, disclosure, or security incidents to security@trialsnest.com.
Prohibited Uses
You may not:
Use the Service for unlawful, fraudulent, harmful, abusive, or deceptive purposes.
Access or attempt to access accounts, systems, data, or PHI without authorization.
Scrape, copy, reverse engineer, disrupt, overload, or interfere with the Service.
Upload malware, malicious code, or content that infringes another party's rights.
Misrepresent your identity, role, affiliation, eligibility, or authority.
Use the Service to send spam, unauthorized marketing, or unlawful communications.
Use the Service in a way that violates HIPAA, TCPA, CAN-SPAM, clinical research regulations, or other applicable law.
Communications
By using TrialsNest, you may receive communications by email, phone, portal notification, or SMS/text message depending on your preferences and consent. Communications may include account notices, prescreening follow-up, appointment reminders, document requests, study updates, administrative notices, and support responses.
SMS/text communications are governed by the TrialsNest SMS Terms and your opt-in consent. You may opt out of text messages by replying STOP where available.
Electronic Signatures and Records
You agree that electronic signatures, checkboxes, acknowledgments, consents, and records may be used in connection with the Service where legally permitted. Certain clinical research consent forms may require separate review, signature, IRB approval, or study-specific procedures.
User Content and Information You Submit
You may submit information, messages, documents, forms, notes, and other content through the Service ("User Content"). You retain your rights in your User Content, but you grant TrialsNest the right to use, host, store, process, transmit, display, and disclose User Content as necessary to operate the Service, provide support, meet legal obligations, protect security, and perform our agreements.
Health information and PHI are handled according to our Privacy Policy, HIPAA Privacy & Security Notice, Business Associate Agreements where applicable, and applicable law.
Study Listings and Third-Party Information
TrialsNest may display information about clinical studies, research sites, sponsors, providers, or third-party services. We try to keep information accurate, but study details may change. TrialsNest does not guarantee that study listings are complete, current, available, or appropriate for you.
Third-Party Services and Vendors
The Service may integrate with third-party services, including hosting, cloud infrastructure, email, SMS, analytics, identity, document storage, scheduling, EHR/FHIR connections, or other vendors. Use of thirdparty services may also be subject to their terms and policies.
TrialsNest will use vendors in a manner consistent with our legal and contractual obligations, including HIPAA Business Associate Agreements where required.
Intellectual Property
The Service, including software, designs, text, graphics, workflows, dashboards, logos, trademarks, and other materials, is owned by TrialsNest or its licensors. You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service except as expressly permitted in writing.
Feedback
If you provide suggestions, ideas, or feedback, you grant TrialsNest a non-exclusive, worldwide, royalty-free right to use that feedback without restriction or compensation.
Privacy
Our Privacy Policy explains how we collect, use, disclose, and protect information. Our HIPAA Privacy & Security Notice explains how PHI may be handled where HIPAA applies.
Suspension or Termination
We may suspend or terminate access to the Service if we believe you violated these Terms, created risk to the Service or others, used the Service unlawfully, or if your organization's agreement with TrialsNest ends.
You may stop using the Service at any time. Certain records may be retained as required by law, contract, audit obligations, security obligations, or legitimate business needs.
Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, TrialsNest disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, and guaranteed results.
TrialsNest does not guarantee that the Service will identify every eligible study, prevent every security incident, ensure enrollment, replace professional judgment, or satisfy every regulatory obligation of your organization.
Limitation of Liability
To the maximum extent permitted by law, TrialsNest will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages. TrialsNest's total liability for claims arising from or related to the Service will not exceed the amount paid to TrialsNest by you or your organization for the Service in the twelve months before the claim, or $100 if you have not paid TrialsNest directly.
Some jurisdictions do not allow certain limitations, so some limitations may not apply.
Indemnification
You agree to defend, indemnify, and hold harmless TrialsNest from claims, damages, liabilities, costs, and expenses arising from your misuse of the Service, violation of these Terms, violation of law, unauthorized access or disclosure, or content you submit.
Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Venue for disputes will be in the state or federal courts located in [County, State], unless otherwise required by law or contract.
